These Terms describe the rules for using Wanderminds Account, our community, and the online products Wanderminds operates.

1. Agreement and eligibility

These Terms of Service (“Terms”) are an agreement between you and Wanderminds Inc (“Wanderminds,” “we,” or “us”). They apply when you use Wanderminds Account, the Hermes Agent Chinese Community and its forum, or another Wanderminds-hosted product that links to these Terms (the “Services”). By creating an account or using the Services, you agree to these Terms and our Privacy Policy.

You must be at least 13 years old and legally able to enter this agreement. If the law where you live requires a higher age for online consent, you must meet that age or have permission from a parent or legal guardian. If you use the Services for an organization, you represent that you can bind that organization.

2. Your account

You must provide accurate information, keep your sign-in methods secure, and promptly update information that changes. You are responsible for activity under your account unless it results from a security failure attributable to us. Do not share passwords, verification codes, recovery codes, passkeys, or session tokens.

Tell us promptly at [email protected] if you suspect unauthorized access. We may require reasonable verification before restoring access, changing sensitive account details, or processing an account deletion request.

A Wanderminds Account is a shared identity across supported products. Product data and permissions remain separated where appropriate; signing in does not automatically grant access to every paid, private, or administrative feature.

3. Acceptable use

You may use the Services only in compliance with law, these Terms, product documentation, and applicable community rules. You may not:

  • break the law, infringe intellectual-property or privacy rights, impersonate others, or misrepresent the source of content;
  • harass, threaten, exploit, or endanger people, or publish unlawful hateful, sexual-abuse, or non-consensual intimate content;
  • distribute malware, phishing, spam, credential theft, or instructions primarily intended to compromise systems or evade safeguards;
  • probe, disrupt, overload, or bypass security, rate limits, access controls, moderation, or usage restrictions without written authorization;
  • scrape personal data, build unsolicited marketing lists, or automate account creation, voting, posting, or messaging in a deceptive or abusive way;
  • sell, lease, transfer, or share account access except through an organization feature we provide; or
  • use the Services to develop or operate systems where failure could reasonably cause death, serious injury, or major physical harm without appropriate independent safeguards and written agreement.

Security research must be conducted in good faith, avoid privacy violations and disruption, and be reported to us before public disclosure.

4. Community content

You retain ownership of content you create. By posting content to a public or shared area, you grant Wanderminds a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, translate, display, and distribute that content only as reasonably needed to operate, secure, moderate, promote, and improve the community. This license ends when the content is deleted from active systems, except for copies retained in backups, lawful records, quotations, or content shared by others.

You represent that you have the rights needed to post your content. You are responsible for reviewing material before publishing it, including content generated with an AI tool. Clearly disclose material automated participation where the community rules or context require it; do not use an Agent to impersonate a human or manufacture false consensus.

Public content can be viewed, quoted, indexed, archived, or copied by others. Do not publish secrets, personal data, confidential business information, or material you are not prepared to make public.

5. AI and product outputs

Some Services help users run, connect, or interact with AI models and Agents. Outputs can be incomplete, inaccurate, offensive, insecure, or unsuitable for your purpose. They are not a substitute for qualified professional judgment. You must independently review outputs before relying on them or using them in production.

No professional advice. Unless a specific written agreement says otherwise, the Services do not provide medical, legal, financial, employment, safety, or other regulated professional advice.

You are responsible for the prompts, data, tools, permissions, and automated actions you configure, including ensuring you have a lawful basis to process third-party data. Do not grant an Agent more access than the task requires. Product-specific limits, model-provider terms, and open-source licenses may also apply.

6. Open source and third parties

Our Services may include or connect to open-source software, third-party models, APIs, plugins, websites, payment services, or community projects. Their separate licenses and terms govern those components. Open-source licenses take precedence over these Terms for the code they cover.

Third-party services are controlled by their providers. We are not responsible for their availability, content, security, or independent data practices. A link, integration, community listing, or compatibility statement is not an endorsement or guarantee.

7. Moderation, suspension, and appeals

We may investigate reports, limit reach, remove content, restrict automation, temporarily lock an account, or suspend access when reasonably necessary to enforce these Terms, protect users or systems, comply with law, or respond to urgent risk. We may preserve relevant records while an investigation or dispute is pending.

We aim to apply moderation proportionately and provide notice when practical. To appeal a moderation or account decision, email [email protected] with the account, decision, and relevant context. Repeated or severe violations may result in permanent termination.

8. Paid services

If we offer a paid product, its checkout page or order form will identify the price, billing period, included usage, taxes, renewal terms, cancellation method, and any additional product terms. Unless those terms say otherwise, fees are charged in advance and are non-refundable except where law requires or we expressly agree.

You authorize us and our payment provider to charge the selected payment method. We may suspend a paid feature for overdue amounts after reasonable notice. Ending a subscription does not automatically delete your Wanderminds Account; account deletion follows the process in our Privacy Policy.

9. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Wanderminds disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and accuracy. We do not guarantee that content, AI outputs, community advice, or third-party integrations will be correct, safe, or available.

To the maximum extent permitted by law, Wanderminds and its directors, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption arising from the Services.

Our total liability for all claims relating to the Services will not exceed the greater of US$100 or the amount you paid Wanderminds for the applicable Service during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

10. Ending use and changes

You may stop using the Services at any time and may request account deletion as described in our Privacy Policy. Provisions that by their nature should survive—such as licenses needed for retained public content, intellectual-property terms, disclaimers, liability limits, dispute terms, and payment obligations—continue after termination.

We may change, discontinue, or limit a Service, including experimental or free features. When practical, we will provide notice and a reasonable export or transition period for material changes. We may update these Terms; if a change materially affects your rights, we will provide additional notice before it takes effect. Continued use after the effective date means you accept the updated Terms.

11. Governing law and contact

These Terms are governed by the laws of the State of Colorado and applicable United States federal law, without regard to conflict-of-law principles. Unless applicable consumer law requires another forum, disputes will be brought in a state or federal court located in Colorado, and each party consents to that jurisdiction.

If part of these Terms is unenforceable, the remaining terms remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a reorganization, financing, merger, acquisition, or sale of assets. These Terms and any product-specific terms are the entire agreement for the Services they cover.
